By using our website, www.closeyoureyesphoto.com, booking any of our photography services, purchasing products or add-ons, or participating in a contest, competition, promotion, special campaign, or participant experience offered by Close Your Eyes Photo LLC, you agree to comply with and be bound by the applicable Terms & Conditions, policies, official rules, and agreements governing that activity.


1. General Terms

These Terms & Conditions establish the general policies governing photography services, products, bookings, studio activities, and other applicable services provided by Close Your Eyes Photo LLC (“Close Your Eyes Photo” or “Company”).

These Terms & Conditions may also apply, where relevant, to users of the Company’s website and individuals participating in contests, competitions, promotions, special campaigns, or participant experiences administered by Close Your Eyes Photo.

Photography Services Agreements

Each photography booking requires an applicable signed Photography Services Agreement or other written Agreement identifying the terms specific to that booking.

Session-specific terms may include:

  • Session type and duration
  • Pricing and booking fee
  • Included Participants
  • Looks, outfits, backgrounds, or creative setups
  • Included edited images
  • Proof and delivery timelines
  • Usage license
  • Package-specific upgrades or fees
  • Any special conditions applicable to the booking

The applicable signed Agreement incorporates by reference the Close Your Eyes Photo Terms & Conditions in effect on the date the Agreement is signed.

These Terms & Conditions form part of the applicable Agreement and govern general studio policies and other matters that are not required to be repeated in each individual Agreement.

Priority of Terms

If any clarification, difference, or conflict exists between these Terms & Conditions and an applicable signed Agreement, the signed Agreement will control with respect to that specific booking.

Product-specific terms, add-on terms, promotional rules, competition rules, or other written conditions may also apply when expressly communicated in connection with the applicable purchase, service, promotion, or activity.

Session Type Adjustments

Close Your Eyes Photo offers different photography session types with varying pricing, duration, participant limits, deliverables, creative scope, and package features.

If the Client’s intended photography needs do not reasonably fit the originally selected session type, Close Your Eyes Photo may discuss an appropriate adjustment or reclassification with the Client.

Material changes affecting pricing, session duration, deliverables, participant limits, usage rights, or other significant booking terms may require:

  • A revised Agreement
  • A written amendment
  • An additional invoice or payment
  • A different session type
  • A custom quote

Any required material adjustment must be agreed to before the modified services are provided.

Updates to These Terms

Close Your Eyes Photo may update or modify these Terms & Conditions from time to time.

Material changes will apply prospectively unless otherwise required by applicable law.

For photography bookings, the applicable version is the version in effect on the date the Client signs the applicable Agreement, unless the Client and Close Your Eyes Photo later agree in writing to different terms.

Non-material corrections, formatting changes, or clarifications that do not materially alter Client rights or obligations may be made without affecting existing Agreements.


2. Booking & Payment

Booking Requirements

A session date and time are not secured until Close Your Eyes Photo has received:

  • The applicable signed Photography Services Agreement or other required Agreement; and
  • The applicable non-refundable booking fee, unless otherwise expressly stated in writing.

The booking fee is applied toward the total price of the booked photography service.

Submitting an inquiry, discussing availability, receiving a quote, or receiving an invoice does not by itself reserve a session date or time.

Session Fees & Remaining Balance

The total session price, booking fee, applicable taxes, and any other package-specific charges will be stated in the applicable booking, invoice, or signed Agreement.

Any remaining balance must be paid by the due date stated on the applicable invoice and before the day of the scheduled session, unless otherwise expressly stated in the signed Agreement.

Close Your Eyes Photo is not required to begin or provide photography services when a required balance remains unpaid.

Additional Charges & Add-Ons

Optional add-ons, upgrades, additional images, additional Participants, custom requests, products, travel, permits, or other services may result in additional charges.

Charges not paid during the original booking may be invoiced separately and must be paid by the applicable invoice due date and before the related service, product, editing work, production, or fulfillment is provided.

Add-on pricing, eligibility, availability, and other terms are further governed by the Add-Ons & Additional Feessection of these Terms & Conditions and any applicable product-specific terms.

Invoices & Payment Processing

Payments may be processed through Pixieset Payments, powered by Stripe, Stripe directly, or another payment method or platform authorized by Close Your Eyes Photo.

All invoices must be paid by the due date stated on the applicable invoice.

Failure to submit a required payment by the applicable due date may result in:

  • Delayed services
  • Delayed editing or delivery
  • Suspension of production or fulfillment
  • Rescheduling
  • Cancellation
  • Loss of the scheduled session date

Any cancellation, refund, credit, or rescheduling consequences resulting from nonpayment will be determined under the applicable signed Agreement and the Cancellations, Refunds & Rescheduling provisions of these Terms & Conditions.

Taxes

Applicable sales tax and other legally required taxes or charges will be added where required.

Prices displayed or quoted as “plus tax” do not include applicable taxes unless otherwise expressly stated.


3. Gift Cards, Gift Credits & Promotional Credits

Gift Cards & Gift Credits

Close Your Eyes Photo may offer Gift Cards or Gift Credits that can be purchased or issued for use toward eligible photography services, products, or other offerings.

The value, eligible uses, redemption conditions, and any applicable restrictions will be communicated when the Gift Card or Gift Credit is issued or purchased.

Purchased Gift Cards and Gift Credits:

  • Have no cash value and may not be redeemed or exchanged for cash, except where required by applicable law
  • Do not guarantee session availability
  • Do not override applicable booking, payment, cancellation, rescheduling, no-show, or studio policies
  • May be subject to eligibility restrictions based on the applicable service, product, or offer
  • Are subject to applicable federal and state laws governing expiration and redemption

If the cost of the selected service or product exceeds the available Gift Card or Gift Credit balance, the Client is responsible for paying the remaining amount.

Unless otherwise stated at the time of issuance, any unused eligible balance on a purchased Gift Card or Gift Credit will remain available for future eligible redemption in accordance with applicable terms and law.

Promotional & Complimentary Credits

Close Your Eyes Photo may also issue promotional, complimentary, discount, contest, campaign, or other non-purchased credits.

These credits may be subject to specific:

  • Eligible services or products
  • Minimum purchase requirements
  • Usage limits
  • Promotional conditions
  • Redemption periods
  • Expiration dates
  • Booking restrictions
  • Transfer restrictions

Applicable conditions will be communicated in connection with the specific credit, promotion, campaign, certificate, prize, or offer.

Promotional or complimentary credits have no cash value and are not redeemable for cash unless otherwise required by applicable law.

Combining Credits & Offers

Unless otherwise expressly stated, Gift Cards, Gift Credits, Promotional Credits, discount codes, and other offers may not be combined with one another.

Close Your Eyes Photo may identify specific promotions or offers that permit combination or stacking when expressly communicated in writing.

Redemption

Use of a Gift Card, Gift Credit, Promotional Credit, certificate, or similar benefit remains subject to:

  • Availability of the applicable service or product
  • Applicable booking requirements
  • Applicable signed Agreements
  • These Terms & Conditions
  • Any specific conditions communicated when the credit or benefit was issued

Redemption of a credit does not independently create or secure a photography booking unless all applicable booking requirements have also been completed.


4. Cancellations, Refunds & Rescheduling

Unless otherwise stated in the applicable signed Agreement, the following cancellation and rescheduling policies apply to standard photography sessions.

Clients are permitted one (1) complimentary reschedule when the request is received at least 48 hours before the scheduled session. All date changes are subject to availability.

Reschedule requests received less than 48 hours before the scheduled session will result in forfeiture of the original booking fee. A new booking fee will be required before a replacement session date is confirmed.

Any additional reschedule beyond the first complimentary reschedule is subject to a $50.00 rescheduling fee per change, plus applicable taxes. If a replacement booking fee is also required, that requirement will continue to apply.

Rescheduled sessions must take place within 60 days of the reschedule request unless otherwise approved by Close Your Eyes Photo.

If the Client cancels the session without rescheduling, the booking fee remains non-refundable. Payments made in excess of the booking fee for services that have not yet been performed will be handled in accordance with the applicable signed Agreement.

Notice Requirements

Cancellation and rescheduling requests must be submitted in writing by email to hello@closeyoureyesphoto.com or through Close Your Eyes Photo’s designated booking system.

Notice is effective when received by Close Your Eyes Photo.

Requests made by phone, voicemail, text message, social media, or verbally will not constitute formal notice unless Close Your Eyes Photo confirms the request in writing.

No-Shows & Late Arrivals

Failure to attend the scheduled session without prior notice will be considered a no-show. The booking fee will be forfeited, and a new booking fee will be required to schedule another session.

Late arrivals are subject to the Late Arrivals provisions of these Terms & Conditions and do not extend the scheduled session duration.

Prepaid Add-Ons

Prepaid add-ons are optional.

If a session is rescheduled, unused prepaid add-ons will remain associated with the session and transfer to the replacement date, subject to the pricing, availability, and limits applicable to that session.

Following a cancellation or no-show, unused prepaid add-ons may be transferred, credited, refunded, or otherwise handled in accordance with the applicable signed Agreement and any product-specific terms communicated at the time of purchase.

Any applicable price difference for a transferred add-on must be paid before the additional service or product is provided.

Add-on credits may not be applied toward a new or replacement booking fee unless otherwise approved by Close Your Eyes Photo.

Once an add-on has been performed, produced, or fulfilled, the associated payment is final and non-refundable, except where otherwise required by applicable law.

Personalized physical products may be subject to additional cancellation and refund restrictions once production has begun, as described in the Add-Ons & Additional Fees section.

Session-Specific Exceptions

Session-specific cancellation or rescheduling terms stated in a signed Agreement will control if they differ from this standard policy.


5. Image Ownership & Usage Rights

Copyright & Ownership

All photographs, video, and other content created by Close Your Eyes Photo remain the exclusive intellectual property of Close Your Eyes Photo LLC, except where otherwise expressly agreed in writing, and are protected by applicable copyright law.

Payment for a photography session, digital images, physical products, or other services does not transfer copyright ownership to the Client or any Participant.

Close Your Eyes Photo retains all copyright and ownership rights in both delivered and non-delivered images and content.

Client Usage License

Final delivered images are provided under the usage license identified in the applicable signed Agreement.

The two primary licenses offered by Close Your Eyes Photo are:

  • Personal Use License
  • Branding & Promotional Use License

Only final delivered images are licensed for use. Proofs, RAW files, unselected images, and other non-delivered content are not licensed for Client or Participant use unless otherwise authorized in writing.

Personal Use License

A Personal Use License permits use of final delivered images strictly for personal, non-commercial purposes, including:

  • Personal social media sharing
  • Personal printing for home display
  • Personal gifts
  • Private archiving

Images provided under a Personal Use License may not be used for:

  • Business or professional branding
  • Advertising or promotion
  • Influencer or sponsored content
  • Commercial activity
  • Product or service promotion
  • Resale or other monetized purposes

Any commercial, professional, branding, or promotional use requires prior written authorization from Close Your Eyes Photo and may require an additional license or fee.

Branding & Promotional Use License

A Branding & Promotional Use License permits the Client to use final delivered images to promote themselves or their own individual, professional, entertainment, business, or personal brand.

Permitted uses may include:

  • Personal or business websites
  • Social media platforms
  • Digital portfolios
  • Branding materials
  • Business cards
  • Flyers and posters
  • Promotional materials
  • Advertising directly related to the Client’s own individual, professional, entertainment, or brand representation

Unless otherwise expressly permitted in the applicable signed Agreement or authorized in writing by Close Your Eyes Photo, a Branding & Promotional Use License does not permit:

  • Sale, sublicensing, assignment, transfer, or redistribution of images
  • Licensing or providing images for independent third-party use
  • Use to promote unrelated third-party products, services, companies, or brands
  • Material alteration, manipulation, or application of filters beyond standard cropping or resizing for formatting purposes

Any use outside the scope of the applicable license requires prior written approval from Close Your Eyes Photo and may be subject to additional licensing fees.

Participants

A Participant who is not also the Client does not automatically receive the Client’s contractual rights.

Usage rights for Primary Participants and Additional Participants are governed by the Participants & Model Releasessection of these Terms & Conditions, the applicable signed Agreement, and any applicable Model Release & Consent Form.

Company Use of Session Content

Close Your Eyes Photo may use photographs, video, audio, behind-the-scenes content, likeness, voice, appearance, or other session content only as authorized by the applicable signed Agreement, Model Release, or other written authorization.

Authorized Company use may include portfolio, website, social media, marketing, advertising, promotional, editorial, documentary, and other lawful business purposes.


6. Image Delivery, Proofing & Editing

Proof Gallery

Proofs will be delivered within the timeframe stated in the applicable signed Agreement.

Proof images are provided solely for viewing and selection purposes and may contain watermarks.

Unless otherwise authorized in writing, proof images may not be downloaded, screenshotted, shared, published, or posted on social media or any other public or private platform.

Close Your Eyes Photo may preselect the photographs presented in the proof gallery and may omit repeated images, test shots, out-of-focus images, images with unsuitable lighting, out-of-frame captures, or other photographs the Company determines are not suitable for delivery.

Final Image Selection

The Client is responsible for selecting the number of final images included with the applicable session, together with any additional images purchased.

Once final proof selections are submitted, those selections are final and cannot be changed, exchanged, or replaced, unless otherwise approved by Close Your Eyes Photo.

Selections made from the proof gallery for personalized physical products, including Personalized Photo Planners, are also considered final once submitted for production.

Editing & Final Delivery

Unless otherwise stated in the applicable signed Agreement, final edited images will generally be delivered within 21 business days after:

  • All required final proof selections have been submitted; and
  • All applicable payments for selected images have been received in full.

The editing and delivery timeline does not begin until all required selections, payments, approvals, retouching instructions, or other information reasonably required from the Client have been received.

Any delay by the Client in providing required information will delay the applicable editing and delivery timeline.

Additional Images

Additional professionally edited images may be purchased at the applicable pre-session or post-session rate for the Client’s selected session type, subject to applicable package limits and availability.

Unless otherwise stated in the applicable signed Agreement or purchase terms, additional images purchased after the Client’s initial selection are subject to a separate 21-business-day turnaround period, beginning once those additional images have been selected and payment has been received in full.

Expedited Editing & Delivery

Expedited editing and delivery may be available upon request for an additional fee.

Expedited service is subject to studio availability, the number of selected images, the level of retouching required, and the requested delivery date.

Submitting an expedited-service request does not guarantee approval or a specific delivery date.

An expedited deadline is confirmed only after Close Your Eyes Photo approves the request in writing and the applicable expedited-service fee has been paid in full.

Expedited-service fees are non-refundable once the expedited editing work has begun.

RAW & Unedited Files

RAW or unedited files are not included and will not be provided unless explicitly agreed to in writing by Close Your Eyes Photo.


7. Late Arrivals

Sessions begin promptly at the scheduled time.

Late arrival does not extend the scheduled session duration and may reduce the time available for photography, the number of looks, setups, or other session elements that can reasonably be completed.

If the session cannot begin as scheduled because the Primary Participant or other required Participant(s) arrive more than 15 minutes late, Close Your Eyes Photo may cancel the session at its discretion.

If a session is canceled due to late arrival, the applicable cancellation, rescheduling, booking-fee, and payment provisions of these Terms & Conditions and the Client’s signed Agreement will apply.


8. Force Majeure (Unexpected Circumstances)

Neither the Client nor Close Your Eyes Photo will be considered in breach of the applicable Agreement or these Terms & Conditions for delays, interruptions, rescheduling, or inability to perform caused by circumstances beyond the affected party’s reasonable control.

Such circumstances may include, but are not limited to:

  • Severe weather
  • Natural disasters
  • Fire
  • Flooding
  • Illness or medical emergency
  • Government orders or restrictions
  • Travel restrictions
  • Power, utility, internet, or technology outages
  • Building or studio access restrictions
  • Unexpected loss of access to the studio
  • Transportation disruptions
  • Public emergencies
  • Labor disruptions
  • Other events that could not reasonably have been prevented or avoided

Notice

The affected party should provide notice to the other party as soon as reasonably possible after becoming aware that a Force Majeure event may affect the scheduled service.

Rescheduling

When reasonably feasible, Close Your Eyes Photo will attempt to reschedule the affected session.

Unless otherwise stated in the applicable signed Agreement:

  • Payments already made toward the session will remain associated with the rescheduled booking
  • Unused prepaid add-ons will transfer to the replacement session date
  • The replacement date will remain subject to studio availability
  • Any material change to the service, location, or package may require a revised Agreement, written amendment, or applicable price adjustment

A reschedule caused solely by an approved Force Majeure event will not be treated as a Client-requested complimentary reschedule unless otherwise stated in the applicable signed Agreement.

Inability to Perform

If Close Your Eyes Photo is ultimately unable to provide the contracted photography services or a reasonable replacement date, amounts paid for services or add-ons that have not been performed, produced, or fulfilled will be handled in accordance with the applicable signed Agreement and these Terms & Conditions.

Personalized physical products that have already entered production may remain subject to the applicable product-specific cancellation and refund restrictions.

Delays in Post-Production or Fulfillment

Force Majeure events may also affect:

  • Proof delivery
  • Editing and retouching
  • Third-party post-production
  • Printing
  • Personalized product production
  • Shipping
  • Delivery
  • Other fulfillment timelines

When this occurs, applicable delivery estimates may be extended for a reasonable period based on the circumstances.

Close Your Eyes Photo will make reasonable efforts to communicate material delays when appropriate.

Nothing in this section limits any rights or remedies that cannot lawfully be limited under applicable law.


9. Digital Files & Storage

Gallery Availability

Final delivered images will generally remain available for download through the online gallery for 60 days from the delivery date, unless otherwise stated in the applicable signed Agreement.

Clients are responsible for downloading and securely backing up all delivered images during this period.

After the 60-day availability period, continued gallery access and file retention are not guaranteed.

Gallery Reactivation

If the gallery and applicable files remain available after the original availability period, the Client may request gallery reactivation for a $25.00 Gallery Reactivation Fee, plus applicable taxes.

Payment of the Gallery Reactivation Fee does not guarantee recovery or restoration of files that are no longer retained by Close Your Eyes Photo or its gallery provider.

Reactivation availability is subject to the continued existence of the applicable gallery and files.

Client Responsibility

Once final images have been delivered, the Client is responsible for maintaining their own copies and backups.

Close Your Eyes Photo is not responsible for replacing files after the applicable gallery availability period if those files are no longer retained, except where otherwise required by applicable law.


10. Damage to Equipment & Studio Property

Clients, Participants, and guests are expected to use studio equipment, props, furniture, backdrops, fixtures, and other property responsibly and only as authorized by Close Your Eyes Photo.

The Client is responsible for damage caused by the Client, Participants, or guests associated with the Client’s booking when the damage results from:

  • Negligence
  • Misuse
  • Failure to follow reasonable instructions
  • Unauthorized handling or movement of equipment or property
  • Reckless or intentional conduct

Close Your Eyes Photo reserves the right to charge the Client for reasonable documented repair, cleaning, restoration, or replacement costs resulting from such damage.

Where repair is reasonably possible, Close Your Eyes Photo may charge the reasonable cost of repair rather than full replacement.

If damaged property cannot reasonably be repaired, Close Your Eyes Photo may charge the reasonable replacement cost of an equivalent or substantially similar item.

The Client will not be responsible for ordinary wear and tear, pre-existing damage, or damage caused solely by Close Your Eyes Photo or circumstances outside the Client’s reasonable control.

Damage or safety concerns may also result in suspension or termination of the session under the applicable Studio Access & Safety and Right to Refuse or Discontinue Service provisions of these Terms & Conditions.

11. Client Preparation, Cooperation & Attire

Client Preparation

The Client is responsible for ensuring that all Participants arrive prepared for the scheduled session. If the Client will also participate as a subject in the session, these preparation requirements apply to the Client as well.

Preparation may include, as applicable:

  • Wardrobe and outfit readiness
  • Hair and makeup preparation
  • Personal grooming
  • Accessories and styling items
  • Props or personal items approved for the session
  • Any preparation instructions provided by Close Your Eyes Photo before the session

Close Your Eyes Photo may provide styling, wardrobe, preparation, or creative guidance before the session. Such guidance is intended to assist with planning and does not guarantee a particular photographic result.

Session Time

Unless otherwise stated in the applicable signed Agreement, the scheduled session time includes:

  • Outfit changes
  • Hair or makeup adjustments
  • Styling adjustments
  • Preparation during the session
  • Client-requested breaks
  • Participant changes
  • Other Client-requested interruptions

These activities do not extend the scheduled session duration.

The Client is responsible for ensuring that Participants are sufficiently prepared to make reasonable use of the booked photography time.

Wardrobe, Hair & Makeup

Close Your Eyes Photo is not responsible for wardrobe malfunctions, makeup concerns, hair issues, fit or appearance of clothing, or other styling matters outside the Company’s reasonable control.

Clients and Participants may bring makeup, hair, wardrobe, styling, or touch-up items for use during the scheduled session.

Unless specifically included in the applicable package or separately arranged in writing, professional hair, makeup, wardrobe styling, or personal styling services are not included in the photography service.

Cooperation During the Session

Clients and Participants are expected to reasonably cooperate with photography direction, studio workflow, and safety instructions.

Close Your Eyes Photo will make reasonable efforts to achieve the photographic goals of the session, but results may be affected by factors including:

  • Client or Participant preparation
  • Cooperation
  • Time limitations
  • Wardrobe
  • Styling
  • Participant availability
  • Late arrival
  • Client-requested changes or interruptions

Lack of preparation or cooperation does not automatically entitle the Client to additional session time, additional deliverables, a reshoot, or a refund.


12. Participants & Model Releases

Client and Participant Roles

For purposes of these Terms & Conditions, the Client is the individual or entity that books the photography services, enters into the applicable Agreement, and is responsible for the booking.

The Client is not required to be photographed or otherwise participate as a subject in the session.

The Primary Participant is the principal individual who will be photographed, filmed, or recorded during the session.

An Additional Participant is any other individual who will also be photographed, filmed, or recorded as part of the session.

The Client and the Primary Participant may be the same person, but they are not required to be.

Participant Eligibility & Package Limits

The number of Participants permitted depends on the selected session type, package limits, applicable fees, availability, and studio approval.

Some session types are designed for one (1) Primary Participant only. Requests to include Additional Participants in those sessions may require prior approval, a different session type, or a custom quote.

Adding a Participant does not automatically extend the scheduled session duration or increase the number of included images, looks, outfits, backgrounds, setups, or other package deliverables unless otherwise stated in the applicable signed Agreement.

Required Model Release & Image-Use Authorization

Each individual who will be photographed, filmed, or recorded must complete and sign the applicable Model Release & Consent Form, including the required image-use authorization, before participation.

By signing the applicable Model Release & Consent Form, the Participant authorizes Close Your Eyes Photo to photograph, film, and record the Participant and grants the image, likeness, voice, appearance, and content-use permissions described in that Form.

Completion of the applicable Model Release & Consent Form is a condition of participation in the session.

Close Your Eyes Photo will not photograph, film, or record an individual who does not agree to and complete the required release and consent documentation.

If the Client will also be photographed, filmed, or recorded, the Client is considered a Participant and must also complete the applicable release and consent requirements.

The Client is responsible for ensuring that all intended Participants are informed of these requirements before the scheduled session and complete all required forms before participation.

A Participant’s refusal or failure to complete the required Model Release & Consent Form does not automatically entitle the Client to additional session time, a substitute Participant, rescheduling, a refund, or other compensation.

Any resulting booking changes will be governed by the applicable signed Agreement and the Cancellations, Refunds & Rescheduling provisions of these Terms & Conditions.

Participants under 18 are subject to the Minors Policy and the applicable parent or legal guardian consent requirements.

Client Control of the Booking

Unless otherwise agreed in writing, the Client controls and is responsible for:

  • The booking and scheduling of the session
  • Payments and invoices
  • Gallery access
  • Final image selections
  • Add-on purchases
  • Editing or retouching requests
  • Other decisions associated with the booked photography services

A Primary Participant or Additional Participant who is not also the Client does not independently receive these rights unless otherwise agreed in writing.

Participant Usage Rights

A Primary Participant or Additional Participant who is not also the Client does not automatically receive image-usage rights solely because they appear in photographs created during the session.

Any image-usage rights granted to a Participant must be provided directly by Close Your Eyes Photo through the applicable signed Agreement, Model Release & Consent Form, or other written authorization.

Participant usage rights, when granted, may be limited to specific delivered images or specific personal, professional, branding, promotional, or other permitted uses.

Participant usage rights do not include:

  • Copyright ownership
  • Gallery access
  • Image-selection rights
  • Payment or booking rights
  • Separate deliverables
  • Sublicensing rights
  • Rights to undelivered images
  • Any other contractual rights belonging to the Client

Participant-specific permissions regarding Close Your Eyes Photo’s use of their image, likeness, voice, appearance, or session content are governed by the applicable Model Release & Consent Form.


13. Right to Refuse or Discontinue Service

Close Your Eyes Photo reserves the right to refuse, suspend, or discontinue photography services when the conduct, communication, requests, or circumstances involving a Client, Participant, or guest are reasonably determined to be:

  • Unsafe
  • Threatening
  • Harassing
  • Abusive
  • Discriminatory
  • Disruptive
  • Intentionally disrespectful
  • Damaging to studio property or equipment
  • In violation of studio safety requirements
  • In violation of the applicable signed Agreement or these Terms & Conditions
  • Otherwise inconsistent with the reasonable operation of Close Your Eyes Photo

Whenever reasonably appropriate, Close Your Eyes Photo may first request that the conduct or situation be corrected before discontinuing the session.

Close Your Eyes Photo may immediately stop a session without prior warning when the Company reasonably determines that continuing would create a significant safety concern, risk of property damage, unlawful situation, or serious disruption.

Participants & Guests

The Client is responsible for the conduct of Participants and guests associated with the Client’s booking while they are on the studio premises or participating in the session.

Close Your Eyes Photo may require a Participant or guest to leave the premises if their conduct violates applicable studio policies or reasonably interferes with the session.

Removal of a Participant or guest does not automatically extend the scheduled session time or entitle the Client to additional photography time, deliverables, or services.

Payments & Refunds

If services are refused, suspended, or discontinued, the handling of booking fees, session payments, add-ons, credits, or refunds will be determined in accordance with:

  • The applicable signed Agreement
  • The Cancellations, Refunds & Rescheduling section of these Terms & Conditions
  • Services already performed
  • Products already produced
  • Costs already reasonably incurred by Close Your Eyes Photo

Nothing in this section limits any right or remedy that cannot lawfully be limited under applicable law.


14. Limitation of Liability

Close Your Eyes Photo will perform photography services using reasonable professional care consistent with the nature and scope of the booked service.

To the extent permitted by applicable law, Close Your Eyes Photo is not responsible for loss, damage, delay, interruption, or inability to perform caused by circumstances outside the Company’s reasonable control.

Such circumstances may include, but are not limited to:

  • Equipment malfunction not caused by negligence
  • Power, utility, internet, or technology failures
  • Gallery or third-party platform outages
  • Carrier or shipping delays
  • Studio access interruptions
  • Weather, emergencies, or Force Majeure events
  • Acts or omissions of independent third-party service providers outside the Company’s reasonable control

Personal Property

Close Your Eyes Photo is not responsible for loss of or damage to personal property belonging to Clients, Participants, or guests, except to the extent caused by the Company’s negligence or other conduct for which liability cannot lawfully be excluded.

Clients, Participants, and guests are responsible for securing their personal belongings while on studio premises.

Digital Files & Images

Close Your Eyes Photo takes reasonable precautions to protect photographs, galleries, and digital files; however, accidental corruption, technical failure, data loss, or other circumstances beyond the Company’s reasonable control may occur.

Gallery availability, file retention, backups, and reactivation are governed by the Digital Files & Storage section of these Terms & Conditions.

Third-Party Services

Close Your Eyes Photo may use third-party platforms, contractors, laboratories, printing providers, retouchers, designers, fulfillment providers, shipping carriers, or other service providers in connection with photography services and related products.

Close Your Eyes Photo is not responsible for delays or failures caused solely by such third parties when those circumstances are outside the Company’s reasonable control, although the Company will make reasonable efforts to address issues affecting fulfillment where appropriate.

Maximum Liability

To the extent permitted by applicable law, Close Your Eyes Photo’s total liability arising from a specific booking, service, or product will not exceed the amount actually paid by the Client to Close Your Eyes Photo for the portion of the applicable service or product giving rise to the claim.

This limitation does not apply to liability that cannot lawfully be limited or excluded.

Nothing in these Terms & Conditions waives or limits any rights or remedies that cannot legally be waived or limited under applicable law.


15. Privacy & Third-Party Service Providers

Personal information is collected, used, stored, and shared in accordance with the Close Your Eyes Photo Privacy Policy.

Close Your Eyes Photo does not sell personal information.

To provide photography services and related products, Close Your Eyes Photo may use independent contractors and third-party service providers for purposes including:

  • Booking and client management
  • Payment processing
  • Client galleries and proofing
  • Email, SMS, and other communications
  • Website hosting and analytics
  • Editing, retouching, compositing, and graphic design
  • Printing and physical product production
  • Order fulfillment
  • Shipping and delivery
  • Other services reasonably necessary to operate the business and fulfill Client orders

These providers may receive access to limited personal information, photographs, order information, shipping details, creative instructions, or other information reasonably necessary to perform the applicable service.

Close Your Eyes Photo will limit information shared with third-party providers to what is reasonably necessary for the applicable business or fulfillment purpose.

The collection and handling of personal information, including shipping information and information shared with third-party service providers, is further described in the Close Your Eyes Photo Privacy Policy.

Where these Terms & Conditions or an applicable signed Agreement require formal written notice, the Client must use the communication method specified in the applicable provision.

Unless otherwise expressly permitted, social media messages, text messages, phone calls, voicemail, or verbal communications do not constitute formal written notice unless confirmed in writing by Close Your Eyes Photo.

Close Your Eyes Photo may use the email address, phone number, or other contact information provided by the Client in connection with the booking to send service-related communications, subject to the Privacy Policy.


17. Minors Policy

Client Age

A Client entering into a Photography Services Agreement with Close Your Eyes Photo must be at least 18 years old or otherwise legally authorized to enter into a binding contract.

A minor may not independently enter into a Photography Services Agreement unless legally permitted to do so.

Minor Participants

Close Your Eyes Photo will not photograph, film, or record a minor unless a parent or legal guardian is physically present for the entire session, unless otherwise expressly permitted by applicable law and approved in writing by Close Your Eyes Photo.

The parent or legal guardian must complete and sign all required Minor Model Release & Parent/Guardian Consent Forms before the minor is photographed, filmed, or recorded.

Close Your Eyes Photo may request reasonable documentation to verify parental or legal guardian authority when appropriate.

Session Requirements

Sessions involving a minor will not proceed if:

  • The required parent or legal guardian is absent
  • Required consent or release forms have not been completed
  • Close Your Eyes Photo is unable to reasonably verify the required authorization
  • Applicable safety, supervision, or studio requirements cannot be met

Client Responsibility

If the Client is not the minor’s parent or legal guardian, the Client is responsible for ensuring that the required parent or legal guardian is informed of the session requirements and completes all required consent documentation before the session.

The Client does not have authority to consent to the photography, filming, recording, or use of a minor’s image, likeness, voice, or appearance unless the Client is legally authorized to provide that consent.


18. Studio Access & Safety

Studio Access

The Close Your Eyes Photo studio is located on the second floor and is currently accessible by stairs only. There is no elevator available.

Clients and Participants with accessibility concerns or requests for reasonable accommodation are encouraged to contact Close Your Eyes Photo before booking or before the scheduled session so available options can be discussed.

Close Your Eyes Photo does not guarantee that every requested accommodation can be provided, but reasonable available options will be considered when possible.

Studio Safety

Clients, Participants, and guests are expected to follow reasonable safety instructions provided by Close Your Eyes Photo while on studio premises.

Clients, Participants, and guests may not:

  • Interfere with lighting, electrical, camera, or studio equipment without authorization
  • Enter restricted or staff-only areas without permission
  • Use equipment, props, furniture, or studio installations in a manner that is unsafe or inconsistent with instructions
  • Engage in conduct that creates an unreasonable risk to themselves, other Participants, guests, staff, equipment, or studio property

Close Your Eyes Photo may stop or modify any activity, pose, setup, prop use, or creative request that the Company reasonably determines may create a safety concern.

Guests & Participants

The Client is responsible for informing invited Participants and guests of applicable studio rules and ensuring that their conduct does not interfere with the session or studio operations.

Close Your Eyes Photo may limit the number of guests or persons present in the studio when reasonably necessary for safety, space, workflow, privacy, or operational reasons.

Failure to follow reasonable studio safety instructions may result in the activity being stopped or, when appropriate, termination of the session under the applicable Right to Refuse or Discontinue Service provisions.


19. Retouching & Artistic Style

Artistic Style

Close Your Eyes Photo provides photography, editing, color grading, and retouching consistent with its established artistic and professional style.

By booking photography services, the Client acknowledges having had the opportunity to review Close Your Eyes Photo’s portfolio and understands that photographic and editing results will reflect the Company’s creative approach.

Close Your Eyes Photo retains creative discretion over matters including:

  • Lighting
  • Composition
  • Posing and direction
  • Background and setup choices
  • Framing and cropping
  • Color grading
  • Image selection
  • Editing and retouching

Reference images, inspiration photographs, mood boards, or examples provided by the Client may be used for creative direction, but Close Your Eyes Photo does not guarantee exact replication of photographs, lighting, poses, colors, edits, styling, or results created by another photographer or shown in reference materials.

Standard Retouching

Final delivered images receive the level of editing and retouching applicable to the selected session type and consistent with Close Your Eyes Photo’s standard workflow.

The specific amount or type of retouching may vary depending on the photography service, image, creative concept, and applicable package.

Third-Party Retouching & Post-Production

Close Your Eyes Photo may engage qualified independent contractors or third-party service providers to assist with editing, retouching, compositing, graphic design, color correction, or other post-production services when reasonably necessary to complete the Client’s images or deliverables.

Such providers may be given access to photographs, selected images, creative instructions, or other limited information reasonably necessary to perform the assigned work.

Close Your Eyes Photo will limit the information shared with such providers to what is reasonably necessary for the applicable post-production services.

Third-party retouchers, designers, and post-production providers are not authorized to independently use, publish, distribute, license, sell, or otherwise exploit Client images or session content except as necessary to perform services on behalf of Close Your Eyes Photo.

The use of a third-party retoucher, designer, or post-production provider does not change the Client’s applicable delivery terms, image-usage license, or the ownership of photographs and content created by Close Your Eyes Photo.

Close Your Eyes Photo retains responsibility for the final creative direction, review, approval, and delivery of completed work provided to the Client.

Additional Retouching Requests

If the Client identifies a technical or editing error attributable to Close Your Eyes Photo, the Company will review the concern and make a reasonable correction when appropriate.

Requests based on personal preference or requests that go beyond the standard editing included with the applicable session may require:

  • Additional retouching fees
  • Additional production time
  • Technical review
  • Prior approval by Close Your Eyes Photo

Examples may include:

  • Extensive body or facial alterations
  • Significant compositing
  • Object removal or replacement
  • Complex background modifications
  • Substantial wardrobe alterations
  • Advanced graphic design
  • Other extensive or specialized editing

Close Your Eyes Photo reserves the right to decline editing or retouching requests that are outside its artistic style, technically impractical, inconsistent with the original photography, or otherwise outside the scope of the booked service.


20. Photography, Video & Recording Restrictions

Clients, Participants, and guests may not photograph, record video or audio, livestream, or create behind-the-scenes content during a session without prior authorization from Close Your Eyes Photo.

Close Your Eyes Photo may approve limited behind-the-scenes recording at its discretion when it does not interfere with:

  • The photography session
  • Lighting or equipment
  • Studio workflow
  • Privacy
  • Other Participants
  • Other clients
  • Studio operations
  • Safety

Authorization to create behind-the-scenes content may be limited in scope, duration, location, or subject matter.

Unauthorized photography or recording may result in Close Your Eyes Photo requiring the activity to stop.

Continued violation after notice may result in suspension or termination of the session under the applicable Right to Refuse or Discontinue Service provisions of these Terms & Conditions and the applicable signed Agreement.

Close Your Eyes Photo may photograph, film, record, or create behind-the-scenes content involving a Client or Participant only where authorized by the applicable signed Agreement, Model Release & Consent Form, or other written authorization.

Permission granted to a Client, Participant, or guest to create behind-the-scenes content does not transfer ownership of Close Your Eyes Photo’s photographs, lighting setups, creative concepts, or other intellectual property.


21. Add-Ons & Additional Fees

Optional add-ons, upgrades, products, and additional services may be available depending on the selected session type, package limits, availability, and applicable pricing.

The Client is responsible for purchasing and paying for add-ons associated with the booking unless otherwise agreed in writing.

Standard Add-Ons

Certain standard add-ons may be offered directly during booking, through a pre-session payment link, invoice, or other authorized purchase method without requiring separate creative approval.

Standard add-ons may include:

  • Additional professionally edited digital images
  • Polaroid Keepsakes
  • Personalized Photo Planners
  • Other personalized physical keepsakes or products specifically offered by Close Your Eyes Photo

Availability, quantity limits, and pricing may vary by session type.

Additional Edited Images

Photography packages include the number of professionally edited images identified in the applicable signed Agreement.

Additional edited images may be offered at:

  • A pre-session rate when purchased before the scheduled session; and
  • A post-session rate when purchased after the session.

Pre-session pricing, quantities, and availability are limited to the specific offer applicable to the Client’s selected session and may no longer be available after the session takes place.

Additional images are selected from the Client’s proof gallery unless otherwise stated.

The applicable rates and package-specific limits may be stated in the signed Agreement, booking page, invoice, payment link, or other written purchase terms.

Polaroid Keepsakes

Polaroid Keepsakes are instant, unedited physical photographs created during the scheduled photography session.

Unless otherwise stated in writing, Polaroid Keepsakes are available for pre-session purchase only and must be purchased before the scheduled session.

Purchased Polaroid Keepsakes are provided to the Client or designated Participant on the day of the session.

Because of the nature of instant film, variations in:

  • Color
  • Exposure
  • Focus
  • Framing
  • Development
  • Texture
  • Other visual characteristics

are considered part of the nature of the final physical photographs and are not considered editing or production defects.

Personalized Photo Planners & Physical Products

Personalized Photo Planners and other personalized physical products may require the Client to:

  • Select an image from the applicable proof gallery
  • Provide a name, text, or other personalization information
  • Confirm applicable design or customization details
  • Provide pickup, delivery, or shipping information when required

The Client may select an image featuring the Primary Participant or another Participant included in the applicable session, subject to the Client’s image-selection rights and the applicable usage and consent requirements.

For Personalized Photo Planners, the estimated production period is approximately 10–12 business days, beginning after all required image selections and personalization details have been received.

Production does not begin until Close Your Eyes Photo has received all information reasonably required to complete the personalized product.

Physical Product Fulfillment

Available fulfillment options may include:

  • Studio pickup in Houston
  • Local delivery in select Houston areas, when available
  • Shipping to eligible addresses within the United States

Applicable local delivery or shipping charges, if any, will be communicated before fulfillment.

Production time and shipping or delivery time are separate estimates.

Production and fulfillment estimates are not guaranteed delivery dates and may be affected by:

  • Material availability
  • Printing or production delays
  • Shipping carrier delays
  • Holidays
  • Third-party provider delays
  • Force Majeure events
  • Other circumstances outside Close Your Eyes Photo’s reasonable control

Personalized Product Cancellations & Refunds

Because personalized physical products are produced specifically for the Client, purchases are final and non-refundable once production has begun, except where otherwise required by applicable law.

Before production begins, cancellation, transfer, credit, or refund eligibility will be determined under the applicable signed Agreement, these Terms & Conditions, and any product-specific purchase terms.

Custom Add-Ons & Special Requests

Requests outside the standard add-ons offered by Close Your Eyes Photo require prior discussion and approval.

Custom or special-request add-ons may include:

  • Specialty sets or custom creative setups
  • Special backdrops, panels, or installations
  • Custom props
  • Specialized equipment
  • Additional looks or outfits beyond the package limit
  • Additional Participants beyond the applicable package structure
  • Additional studio time
  • Extensive or advanced retouching
  • Graphic design or compositing
  • Rush or expedited services
  • Reshoots or additional photography services
  • Travel or location-related services
  • Permits
  • Other custom production requests

Custom requests may require:

  • A separate quote
  • Additional fees
  • Additional production time
  • Additional rental, material, permit, or third-party costs
  • A revised Agreement or written amendment
  • A different photography session type

A custom request is not confirmed until Close Your Eyes Photo approves it and any required payment or written modification has been completed.

Add-On Payments

Add-on purchases may be subject to applicable sales tax.

Any unpaid add-on, upgrade, product, or additional-service charge must be paid by the applicable invoice due date and before the related service, editing, production, or fulfillment is provided.

Prepaid add-ons affected by cancellation, rescheduling, or no-show are governed by the Cancellations, Refunds & Rescheduling section of these Terms & Conditions and any applicable product-specific terms.


22. Electronic Records, Communications & Signatures

Electronic Signatures

Close Your Eyes Photo may use electronic signatures, acknowledgments, consent forms, contracts, releases, invoices, payment records, and other electronic documents in connection with its services.

To the extent permitted by applicable law, an electronic signature or electronic acknowledgment has the same legal effect as a handwritten signature.

A Client or Participant who electronically signs or accepts an applicable Agreement, release, consent form, or other document acknowledges their intent to be bound by that document.

Electronic Records

Electronic records maintained by Close Your Eyes Photo or its authorized service providers may be used to document:

  • Bookings
  • Agreements and contracts
  • Model releases and consent forms
  • Payments and invoices
  • Add-on purchases
  • Proof selections
  • Client approvals
  • Rescheduling or cancellation requests
  • Written modifications
  • Product personalization selections
  • Other transactions or communications related to the applicable service

Electronic records may satisfy a writing requirement where permitted by applicable law.

Electronic Communications

Where an Agreement or these Terms & Conditions permit or require written communication, the requirement may be satisfied through an authorized electronic method, including:

  • Email
  • Close Your Eyes Photo’s designated booking or client-management system
  • Pixieset forms or electronic records
  • Other electronic methods expressly accepted or confirmed by Close Your Eyes Photo

Social media messages, text messages, verbal conversations, or other informal communications will constitute formal notice, approval, modification, or authorization only when expressly permitted by the applicable Agreement or confirmed in writing by Close Your Eyes Photo.

Agreement Modifications & Approvals

A material modification to a signed Agreement must be agreed to in writing by the Client and Close Your Eyes Photo.

However, routine selections, approvals, notices, requests, add-on purchases, scheduling decisions, or other actions that the applicable Agreement or these Terms & Conditions expressly permit to be handled electronically do not require a separately signed amendment unless Close Your Eyes Photo determines that one is necessary.

Electronic Delivery

Contracts, invoices, galleries, notices, releases, policies, receipts, and other service-related documents may be delivered electronically.

The Client is responsible for providing accurate contact information and maintaining access to the email address or other communication method associated with the booking.


23. Contests, Competitions, Promotions & Special Campaigns

Close Your Eyes Photo LLC may periodically organize, sponsor, administer, or participate in:

  • Contests
  • Competitions
  • Giveaways
  • Promotions
  • Special campaigns
  • Voting activities
  • Participant experiences
  • Collaborative projects
  • Other promotional or community activities

Additional Rules & Agreements

Participation in a contest, competition, promotion, campaign, or participant experience may be subject to additional terms, including:

  • Official rules
  • Eligibility requirements
  • Application or entry requirements
  • Participant agreements
  • Photography agreements
  • Model releases
  • Prize terms
  • Voting procedures
  • Deadlines
  • Scheduling requirements
  • Sponsor terms
  • Campaign-specific policies
  • Other written conditions communicated in connection with the applicable activity

Participants are responsible for reviewing the applicable rules and requirements before participating.

Where separate official rules, agreements, or campaign-specific terms are provided, those terms form part of the conditions governing the applicable activity.

Priority of Campaign-Specific Terms

If a conflict exists between these general Terms & Conditions and the official rules, participant agreement, signed agreement, or other campaign-specific terms applicable to a particular contest, competition, promotion, or campaign, the campaign-specific terms or signed agreement will control with respect to that activity.

Eligibility & Participation

Participation may be subject to requirements including:

  • Age
  • Geographic location
  • Availability
  • Required forms or releases
  • Social media requirements
  • Entry deadlines
  • Attendance requirements
  • Photography-session requirements
  • Participant conduct
  • Other eligibility conditions stated for the applicable activity

Close Your Eyes Photo may review and verify eligibility, submissions, participant information, required documentation, and compliance with applicable rules.

Failure to satisfy applicable eligibility or participation requirements may result in disqualification, removal, loss of eligibility, or other action permitted under the applicable campaign rules.

Voting & Results

When an activity includes public, social-media, audience, judge, panel, or other voting or selection processes, Close Your Eyes Photo may review and validate voting activity and results in accordance with the applicable official rules.

Close Your Eyes Photo may take reasonable action to address:

  • Duplicate or invalid votes
  • Spam
  • Automated activity
  • Fraud
  • Manipulation
  • Artificial engagement
  • Technical errors
  • Platform limitations
  • Eligibility concerns
  • Rule violations
  • Other activity that may materially affect the integrity of the voting or selection process

Where permitted by the applicable rules, Close Your Eyes Photo may invalidate activity that does not comply with the stated voting or participation requirements.

Operational Adjustments

Certain operational details for future stages of a contest, competition, promotion, or campaign may be finalized and communicated before the applicable stage begins.

Close Your Eyes Photo may make reasonable adjustments to:

  • Dates
  • Deadlines
  • Schedules
  • Voting periods
  • Procedures
  • Locations
  • Participant requirements
  • Selection processes
  • Event logistics
  • Other operational details

Such adjustments may be made when reasonably necessary for the proper administration, fairness, safety, security, feasibility, or integrity of the applicable activity.

Material changes affecting Participants will be communicated through an appropriate official Close Your Eyes Photo channel.

Circumstances Beyond Reasonable Control

Close Your Eyes Photo may modify, postpone, suspend, or discontinue an activity when reasonably necessary because of:

  • Technical problems
  • Platform failures
  • Fraud or manipulation
  • Safety concerns
  • Venue or studio availability
  • Severe weather
  • Emergencies
  • Sponsor or vendor issues
  • Force Majeure events
  • Other circumstances outside the Company’s reasonable control

Any resulting action will be handled in accordance with the applicable campaign rules, written agreements, and applicable law.

Selection, Advancement & Benefits

Participation does not guarantee:

  • Selection
  • Advancement
  • Finalist status
  • Winning
  • A prize
  • Sponsorship
  • Promotional exposure
  • Photography services
  • Publication
  • Social media promotion
  • Business or commercial opportunities
  • Any other benefit

except as expressly provided in the applicable official rules or written agreement.

Prizes, Certificates & Promotional Benefits

Prizes, promotional credits, photography certificates, sponsor-provided items, products, services, discounts, or other benefits may be subject to additional conditions, including:

  • Eligibility
  • Availability
  • Redemption requirements
  • Scheduling
  • Expiration
  • Transfer restrictions
  • Geographic limitations
  • Taxes or fees where applicable
  • Sponsor-specific conditions
  • Other terms communicated with the applicable prize or benefit

A prize or benefit may not be exchanged for cash unless expressly stated or otherwise required by applicable law.
